1. Hardware-as-a-Service Purchase & Usage Agreement
Sales Contract (HaaS Kauf- und Nutzungsvertrag)
This is the main contract governing the purchase of hardware and 24-month cloud platform subscription.
Key Terms Summary:
- Purchase Price: €4,000 (net) - Exhibition Pre-Sale Price (Regular: €7,000)
- Included: Hardware + 24 months cloud platform + premium support
- Contract Duration: 24 months initial term
- After 24 months: Monthly renewal at €99/month (net)
- Cancellation: 1 month notice after initial 24-month period
- Ownership: Transfers to customer upon full payment
- Warranty: 24 months statutory + 12 months manufacturer guarantee
- Shipping: February 2025
2. Data Processing Agreement (DPA/AVV)
Datenschutzvereinbarung / Auftragsverarbeitungsvertrag
GDPR-compliant data processing agreement per Art. 28 GDPR/DSGVO.
Key Privacy Terms:
- Data Ownership: Customer retains full ownership of all project data
- Processing Location: Germany/EU only - ISO-certified data centers
- Encryption: TLS 1.2+ in transit, AES-256 at rest
- Sub-processors: EU-only, contractually bound per GDPR
- Data Export: Available at all times in standard formats
- Data Deletion: After contract end + 60-day grace period (GDPR Art. 17)
- Compliance: Full GDPR/BDSG compliance, KRITIS-ready
3. Service Level Agreement (SLA)
Service Level Agreement - Platform Availability & Support
Defines service availability guarantees and support response times.
(Included as Annex in Sales Contract)
SLA Highlights:
- Availability: 99% monthly uptime guarantee

- Priority 1 (Critical): Within 12 hours
- Priority 2 (High): 24-48 hours
- Priority 3 (Normal): 24-48 hours
- Maintenance Windows: Announced 48 hours in advance, max 4 hours/month
- Backups: Daily incremental, weekly full backups
- Recovery Objectives: RPO max 24h, RTO max 48h

📝 Important Legal Information
Warranty & Guarantee
- Statutory Warranty: 24 months from delivery (per §§ 434 ff. BGB)
- Manufacturer Guarantee: 12 months on production & material defects
- Processing Time: 14-30 business days (depending on complexity)
- Warranty Exclusions: Improper use, unauthorized modifications, environmental damage, third-party software/hardware issues
Liability Limitations
- Unlimited Liability: Intent, gross negligence, personal injury
- Limited Liability: Slight negligence (max. 2x annual platform fee = €2,376 net)
- No Liability: Indirect damages, consequential damages, lost profits, measurement inaccuracies due to environmental factors
Data Ownership & Export
- Customer retains full ownership of all project data
- Export function available at all times
- After contract end: 60-day read-only access for data export
- Data deletion after 60 days per GDPR Art. 17
- Deletion certificate available on request
Compliance & Export Control
- Customer must comply with EU export control regulations
- No use in embargo states (EU sanction lists)
- No use for military or weapon-related purposes violating EU law
- No use for scenarios endangering critical infrastructure
- KRITIS-compliant documentation for critical infrastructure
